Terms of Service

1. Agreement to These Terms

These Terms of Service (the "Terms") govern access to and use of the Lendicity platform, websites, and related services (the "Service") provided by Digital Velocity Systems ("Lendicity," "we," "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Service.

2. Software Provider — Not a Lender

Lendicity is a software platform. We are not a lender, mortgage broker, loan originator, or loan servicer, and we do not arrange, fund, purchase, or service loans. Nothing in the Service constitutes financial, legal, or compliance advice.

Customers are solely responsible for their own lending activities, including all required licenses, disclosures, usury limits, and compliance with applicable federal, state, and local laws and regulations.

3. Your Data

You own the data you and your borrowers submit to the Service, including pipeline records, borrower information, and investor records ("Customer Data"). We process Customer Data only to provide and improve the Service and as directed by you.

We maintain administrative, technical, and physical safeguards designed to protect Customer Data, aligned with the safeguards expectations of the Gramm-Leach-Bliley Act (GLBA), including encryption in transit and at rest, per-tenant isolation, and role-based access controls. You may export your Customer Data at any time.

4. Acceptable Use

You agree not to use the Service to violate any law or regulation; to collect or process data you have no legal right to process; to send spam or deceptive communications; to attempt to gain unauthorized access to the Service or another tenant’s data; or to resell, reverse-engineer, or interfere with the Service. We may suspend accounts that pose a security, legal, or operational risk.

5. Billing and Cancellation

Paid plans are billed monthly in advance through Stripe at the prices shown at checkout. Prices are in USD and exclusive of applicable taxes. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and your account is not charged again. Except where required by law, fees already paid are non-refundable.

6. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach of these Terms that remains uncured after notice, or where required by law. Upon termination we will make Customer Data available for export for a reasonable period before deletion.

7. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, and our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

8. Changes and Contact

We may update these Terms from time to time. If a change is material, we will provide reasonable notice (for example, by email or in-app notice) before it takes effect; continued use of the Service after the effective date constitutes acceptance.
